PLEASE READ THESE TERMS CAREFULLY. By accessing or using the website located at www.buysinopec.ca (the “Website”), you agree to be legally bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must immediately cease use of the Website and all related services.

This website is operated by BuySinopec ("Company", "we", "us", or "our"), operating in Canada under a federally registered business name. Throughout the Website, the terms "we", "us" and "our" refer to BuySinopec.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

We reserve the right to refuse, limit, or cancel any order placed with us. Restrictions may apply to orders placed under the same account, payment method, billing address, shipping address, IP address, or purchasing pattern.

We reserve the right to refuse orders reasonably believed to be placed by resellers, distributors, exporters, commercial purchasers, or persons engaged in unauthorized resale activity.

You agree to provide current, accurate, complete, and truthful billing, payment, shipping, and account information. Providing false, misleading, incomplete, or fraudulent information constitutes a breach of these Terms and may result in order cancellation, account suspension, or refusal of future service.

SECTION 6A - ORDER VERIFICATION, FRAUD PREVENTION AND PAYMENT SECURITY

To protect our customers, payment systems, and the integrity of the Service, we reserve the right to refuse, cancel, hold, limit, or verify any order at any time before shipment, including after payment authorization or capture.

We may require additional information or documentation to verify the legitimacy of an order, including:

  • Government-issued identification;
  • Proof of billing address;
  • Verification of shipping information;
  • Telephone or email confirmation;
  • Confirmation from the payment card issuer; or
  • Any other information reasonably required for fraud prevention or security purposes.

Failure or refusal to provide requested verification information within the timeframe specified by us may result in cancellation of the order without liability.

We reserve the right to refuse or restrict transactions that we reasonably determine may involve fraudulent or unauthorized activity, excessive chargeback risk, resale abuse, export restriction violations, suspicious purchasing behaviour, or misuse of the Service.

Orders flagged by payment processors, fraud detection systems, banking institutions, or internal security reviews may be delayed, cancelled, refunded, or subject to additional verification requirements.

We reserve the right to require signature confirmation, delivery confirmation, billing address verification, or additional identity verification for certain orders, including high-value, commercial, bulk, or high-risk transactions.

We are not responsible for losses arising from unauthorized use of your payment method by third parties. You are responsible for maintaining the security and confidentiality of your account and payment information.

SECTION 6B - SHIPPING, DELIVERY AND RISK OF LOSS

Risk of loss and title to products pass to you upon transfer of the products to the shipping carrier or delivery service provider.

Delivery dates and transit times are estimates only and are not guaranteed unless expressly confirmed in writing by us.

We are not responsible for delays, failed deliveries, damages, or losses caused by:

  • Incorrect or incomplete shipping information provided by you;
  • Carrier delays or operational failures;
  • Customs inspections, border delays, or import restrictions;
  • Weather events or Force Majeure Events;
  • Delivery refusal or failed delivery attempts; or
  • Theft, loss, or damage occurring after delivery confirmation.

You are solely responsible for ensuring that the shipping address provided at checkout is accurate, complete, and secure for delivery.

Tracking information and carrier delivery confirmation shall constitute prima facie evidence of successful delivery to the address provided by the customer.

For certain transactions, we may require signature confirmation, restricted delivery, or delivery to the billing address associated with the payment method.

Customers must inspect all shipments promptly upon delivery and notify us in writing within forty-eight (48) hours of receipt regarding any missing items, incorrect shipments, shipping damage, or product defects.

Failure to provide timely notice may affect eligibility for replacement, refund, insurance claim assistance, or other remedies.

SECTION 6C - RETURNS, REFUNDS AND CHARGEBACKS

All returns, refunds, exchanges, cancellations, and warranty requests are subject to our Return Policy, as updated from time to time.

We reserve the right to refuse returns or refunds where:

  • Products have been opened, used, installed, altered, contaminated, or damaged after delivery;
  • Products are returned without original packaging or components;
  • The return request is submitted outside the applicable return period;
  • We reasonably suspect fraud, abuse, or unauthorized activity; or
  • The product is designated as final sale or non-returnable.

Shipping charges, customs fees, brokerage fees, duties, taxes, and handling charges are non-refundable except where required by applicable law.

Before initiating a chargeback or payment dispute with a financial institution or payment processor, you agree to contact us first and provide a reasonable opportunity to investigate and resolve the issue directly.

Fraudulent chargebacks, abusive dispute activity, false non-delivery claims, or attempts to retain products while obtaining a refund may result in:

  • Immediate account termination;
  • Refusal of future service;
  • Collection activity;
  • Civil legal action; and/or
  • Referral to law enforcement authorities where appropriate.

We reserve the right to provide transaction records, communications, IP address logs, delivery confirmations, account activity, fraud analysis data, and related evidence to payment processors, financial institutions, insurers, law enforcement agencies, or dispute resolution providers in connection with the investigation or defence of payment disputes or suspected fraudulent activity.

SECTION 7 - OPTIONAL TOOLS

We may provide access to third-party tools, software, integrations, or services over which we have no control. Such tools are provided “as is” and “as available” without warranties of any kind.

Your use of third-party tools is entirely at your own risk. We disclaim responsibility for losses, damages, interruptions, or liabilities arising from the use of third-party tools or services.

SECTION 8 - THIRD-PARTY LINKS

The Website may contain links to third-party websites or services. We are not responsible for examining or evaluating third-party content, products, services, policies, or websites.

We disclaim liability for damages or losses arising from transactions or interactions with third-party websites or providers. Third-party links do not constitute endorsement or approval.

  • Your Submissions do not violate third-party rights;

  • Your Submissions do not contain unlawful, abusive, defamatory, misleading, or harmful material.

We reserve the right, but not the obligation, to monitor, remove, edit, reject, or restrict Submissions.

Occasionally there may be information on the Website containing typographical errors, inaccuracies, omissions, or outdated information relating to products, pricing, shipping, availability, promotions, specifications, or compatibility.

We reserve the right to correct errors, update information, refuse orders, or cancel transactions without prior notice. If an order is cancelled due to a pricing or listing error, a refund will be issued for amounts charged.

The trademarks, logos, and service marks displayed on this Website are the registered and unregistered marks of BuySinopec or third parties. Nothing on this Website should be construed as granting any licence or right to use these marks without our prior written permission.

Unauthorized use may result in civil or criminal legal action.

SECTION 14 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee that the Service will be uninterrupted, secure, error-free, or continuously available.

Except where prohibited by applicable law, the Service and all products are provided on an “as is” and “as available” basis without representations, warranties, or conditions of any kind, either express or implied, including all implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYSINOPEC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY.

To the maximum extent permitted by law, our total cumulative liability for all claims arising from or related to the Service shall not exceed the greater of: (a) the amount paid by you to us during the twelve (12) months preceding the claim; or (b) one hundred Canadian dollars (CAD $100.00).

Nothing in these Terms excludes or limits rights you may have under applicable Canadian consumer protection laws that cannot lawfully be excluded or waived by contract.

SECTION 15 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BuySinopec and its affiliates, officers, directors, employees, contractors, suppliers, service providers, licensors, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses, including reasonable legal fees and disbursements, arising from:

  • Your breach of these Terms;
  • Your violation of applicable law;
  • Your misuse of the Service or any products purchased through it;
  • Your violation of third-party rights;
  • Fraudulent transactions or chargebacks associated with your account; or
  • Your Submissions.

We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, at your expense, and you agree to cooperate fully with us in asserting any available defences.

SECTION 16 - FORCE MAJEURE

We shall not be liable for delays or failures arising from events beyond our reasonable control, including natural disasters, pandemics, epidemics, labour disruptions, supply chain interruptions, carrier failures, governmental actions or restrictions, sanctions, cyberattacks, telecommunications failures, war, terrorism, civil unrest, or other Force Majeure Events.

Where reasonably practicable, we will attempt to resume operations promptly following a Force Majeure Event. If the Force Majeure Event continues for more than thirty (30) days, either party may cancel any pending orders affected by the event, with a full refund issued for amounts already paid.

SECTION 17 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable under applicable Canadian law, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

SECTION 18 - TERMINATION

These Terms remain effective unless terminated by you or us.

We may suspend or terminate access to the Service at any time where reasonably necessary to protect the Service, prevent fraud or abuse, enforce these Terms, comply with legal obligations, or protect our commercial interests.

Upon termination, you will remain liable for all amounts due up to and including the date of termination. Obligations and liabilities accrued prior to termination, including payment obligations, intellectual property rights, indemnification, and limitations of liability, shall survive termination for all purposes.

SECTION 19 - ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Return Policy, Shipping Policy, and any other policies posted on the Website, constitute the entire agreement between you and BuySinopec regarding the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written.

Failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

SECTION 20 - GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any disputes arising from or related to the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

DISPUTE RESOLUTION PROCESS:

Step 1 – Informal Resolution. You agree to contact us first at info@buysinopec.ca and provide written notice describing the dispute in reasonable detail. We will attempt in good faith to resolve the matter within thirty (30) calendar days of receiving your notice.

Step 2 – Mediation. If the dispute cannot be resolved informally, either party may request non-binding mediation administered through a mutually agreed-upon mediator in Ontario, with costs shared equally between the parties.

Step 3 – Litigation. If mediation fails or is declined, either party may bring disputes before the courts of competent jurisdiction in the Province of Ontario. You agree to submit to the personal and exclusive jurisdiction of the Ontario courts.

CLASS ACTION WAIVER: To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

LIMITATION OF ACTIONS: To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms, the Service, or any products purchased through the Website must be commenced within one (1) year after the cause of action arises, failing which such claim shall be permanently barred. This limitation does not apply where prohibited by applicable consumer protection legislation, including the Limitations Act, 2002 (Ontario), in which case the statutory limitation period shall apply.

Nothing in these Terms limits rights available to you under applicable Canadian consumer protection legislation.

SECTION 21 - CHANGES TO TERMS OF SERVICE

We reserve the right, at our sole discretion, to update, modify, or replace these Terms at any time. Material changes will be communicated through Website notices, email communications, or account notifications, where reasonably practicable, at least fifteen (15) days prior to taking effect.

Continued use of the Service following the posting of any changes constitutes acceptance of the revised Terms.
